Andrew Ross Director - Tax

Andrew is a Tax director focussing on transactions and, in particular, the provision of tax due diligence and related advisory services.

Experience

Andrew has extensive experience with UK transaction related tax issues, including tax due diligence, tax efficient corporate restructuring and transaction planning (for both acquisitions and disposals/exits). He also advises on tax aspects of Sale and Purchase Agreements, including from the perspective of W&I protection for buyers and also the potential tax implications for buyers/sellers arising from the form and terms of the transaction.

Work Highlights 

Examples of recent projects on which Andrew has been a lead member include:

  • Buy-side tax due diligence on a well-known transport logistics group.
  • Vendor tax due diligence report into a manufacturing business (with operations in the UK and other European countries).
  • Advised a number of clients on structures for extracting non-core assets and the potential tax efficiency of those structures. One example for a gaming company included a detailed review of a “capital reduction demerger” used to separate out non-core assets in a tax-efficient manner.
