January 2025 - Proposed re-domiciliation regime in Hong Kong for overseas companies

The re-domiciliation regime in Hong Kong was already implemented on 1 November 2021 for overseas funds to become open-ended and limited partnership funds. However, other overseas companies do not have any way to re-domicile in Hong Kong.

The extension of the re-domiciliation regime to non-Hong Kong incorporated companies has been previously considered and subject to multiple public consultations for several years. The Government finally published the Companies (Amendment) (No. 2) Bill 2024 (the “Bill”) in the Government Gazette on 20 December 2024 to introduce the company re-domiciliation regime in Hong Kong. The Bill will be introduced into the Legislative Council for first reading on 8 January 2025.
