"Structuring acquisition in China: regulatory approvals and tax issues" seminar in Shanghai

In recent years, the number of M&A cases has been increasing. Yet, most investors usually focus only on profitability of the target companies and pay scant attention to other details.

Lack of consideration for those details may lead to tax and legal issues, notably paying unexpected taxes and penalties that should have been avoided.

During the seminar, Mr Peter Law, Tax Senior Manager at Mazars, and Ms Betty Tam, Partner at Mayer Brown JSM, will discuss the implications of various regulatory approvals and tax issues on the acquisition of a company in China, and share their insights and provide practical advice on how to structure acquisitions in China from the tax and legal perspectives.

About the speakers

Peter Law is a Tax Senior Manager at Mazars. He specialises in PRC and Hong Kong tax and business consulting services to both corporate and individual clients. His areas of expertise include advising foreign investors on optimal investment holding structures and proposed foreign investment enterprises in China. He is actively involved in structuring PRC and overseas cross-border transactions such as performing PRC transfer pricing review between related parties, due diligence for mergers and acquisitions, and group restructuring exercises.

 

Betty Tam is a Partner of Mayer Brown JSM’s.  She has worked in Hong Kong and has been based in Shanghai since 2014.   Betty has over a decade of experience in advising multinational corporations on their investments in China.   She has advised extensively on cross-border M&A transactions, acting for clients on both the buy and sell sides.  Betty has also advised many multinational clients on the formation and operation of Chinese-foreign joint ventures as well as general corporate and regulatory matters in China.  She has acted for clients across a wide spectrum of industries, ranging from energy, chemicals, pharmaceuticals, aerospace, automotive, luxury goods to banks and private equity.
