Ministry of Commerce updates registration requirements for e-commerce businesses

On 15 May 2024, the Ministry of Commerce issued a notification outlining the businesses that commercial operators must register and those exempt from the Commercial Registration Act, effective 5 June 2024.

Under this notification, businesses which are operated by an ordinary registered partnership, a registered partnership, a limited company that is a legal entity under the Civil and Commercial Code, and a limited public company are no longer required to obtain a commercial registration certificate.

As a result, such legal entities which are conducting e-commerce businesses for the sale of goods or services through the internet are not required to register those businesses and obtain a commercial registration certificate from the District Office.

However, an individual and an ordinary partnership (including a legal body, joint venture, and enterprise) that is conducting an e-commerce business are still required to register such a business and obtain a commercial registration certificate from the District Office.

It should also be noted that the requirement to register for direct marketing and obtain a direct marketing certificate under the Direct Sales and Direct Marketing Act, 2545 B.E. (2002) remains in effect for any online sales or e-marketplace platforms administered by legal entities.
