Obligation to transmit Form No. 15
Electronic transmission of Form No. 15 and the "Equity reconciliation report of companies with shares listed on a stock exchange".
The International Exchange Department ("DCIN") of Banco de la República, through Bulletin No. 13 of April 7, 2017, communicated to the companies receiving foreign investment the deadlines to comply with the obligation to electronically transmit Form No. 15 "Equity reconciliation companies and branches general regime" and the "Report of equity reconciliation of companies with shares registered in a stock exchange", as follows:
- For companies receiving foreign investment whose NIT (without taking into account the verification digit) ends in an even number, the term shall expire on July 15 of each annuity.
- For companies receiving foreign investment whose NIT (without taking into account the verification digit) ends in an odd number, the term will expire on August 15th of each year.
- For branches of foreign companies belonging to the special exchange regime, which must file Form No. 13 "Registration of supplementary investment to the assigned capital and update of equity accounts - Branches of the Special Regime", the deadline to comply with such obligation will expire on June 30.
Companies and branches of the general regime receiving foreign investment, which have foreign investment not yet registered before the Bank of the Republic as of December 31 of each fiscal year, are exempted from the obligation to submit Form No. 15 electronically and must submit it in a physical document to the DCIN of the Bank of the Republic.
The omission or delay in the presentation of Form No. 15 "Equity reconciliation - companies and branches of the general regime", will give rise to the imposition of the corresponding sanctions by the Superintendence of Companies, in accordance with its legal powers, especially those contained in Article 86 of Law 222 of 1995. Such penalties may amount up to 200 legal monthly minimum wages in force.
